Scope of Services: Crown Digital US LLS (“Crown Digital”, “we”, or “us”) agrees to provide social media management services to the client (“you”) with a minimum posting of 3 post per week across up to 5 platforms.

Payment Terms: All payments for services provided are due at the beginning of each month or quarter. Payment after the 5th of the month will be considered late and may be subjected to a late payment fee of $20.

Content Approval: We will provide draft content for your approval before posting at your request. Content not disapproved within 48 hours of submission will be considered approved. Once your comfortable with our posting schedule and content we reserve the rights to create content and post in your behalf.

Confidentiality: Both parties agree to maintain the confidentiality of all information acquired during the provision of services, excluding information available in the public domain.

Termination: Either party may terminate the service agreement with a written notice of 15 days. Any unpaid dues or fees at the time of termination shall become immediately payable.

Liabilities: Crown Digital will make every effort to maintain the integrity and reputation of the client’s brand. However, we are not responsible for any direct or indirect damages resulting from our services.

Third-Party Platforms: Social media management involves using third-party platforms (e.g., Facebook, Instagram). We are not responsible for the policies, terms, or changes made by these platforms.

Intellectual Property: All content created by Crown Digital remains our intellectual property until full payment is received. Upon payment, the intellectual property rights transfer to the client. Crown Digital reserved the right to use the content created in advertisement on our website or our own social media accounts indefinately.

Indemnity: The client agrees to indemnify and hold harmless Crown Digital from any claims, damages, liabilities, or expenses (including legal fees) arising out of the content or materials provided by the client.

Changes to Terms: Crown Digital reserves the right to modify these terms and conditions at any time. The client will be informed of any changes in a timely manner.

Governing Law: These terms and conditions shall be governed by the laws of the state of Georgia.

Entire Agreement: This agreement, along with any attachments or addendums, represents the entire agreement between the parties and supersedes any previous agreements or understandings.
